These are the current commercial booking terms adopted by Luminous Living Ltd for corporate enquiries and proposals. Event-specific scope in an accepted Booking Confirmation or Proposal takes priority for the commercial details of that booking.
A corporate booking becomes binding when Luminous accepts the signed or electronically accepted Booking Confirmation / Proposal and any stated booking-payment condition has been met.
Unless otherwise agreed, 50% of live Event Charges is due on confirmation and the balance 14 calendar days before the Event. If confirmed within 14 days, 100% is due on confirmation. Portal pilot and annual-licence payment dates are stated in the Booking Confirmation.
Live experience pricing is capacity-based. A later reduction in attendance does not reduce the agreed Charges because delivery capacity, equipment, staffing and the date have been reserved. Increases may move the booking into the next capacity band and require operational changes.
Unless expressly included, venue hire, catering/lunch, travel, accommodation, exceptional or additional AV/production, specialist crew, complex freight/equipment and client-specific external requirements are scoped separately.
Cancellation must be in writing. The current Luminous commercial scale is: more than 60 days before the Event — 25% of live Event Charges; 43–60 days — 50%; 29–42 days — 75%; 28 days or fewer — 100%. Reasonable and irrecoverable third-party costs may also be payable where they are not already included. Luminous will take reasonable steps to mitigate avoidable loss and will not recover the same loss twice.
A request to change the Event date is subject to Luminous availability, supplier/crew availability and written agreement. Where agreed, sums already paid may transfer to the replacement date less non-recoverable costs, with any price increase, new third-party cost or material scope change payable by the Client. Unless otherwise agreed, the replacement date should occur within six months. If a reasonable replacement cannot be agreed, the cancellation provisions may apply with appropriate credit for sums already paid and losses avoided.
The Client appoints a lead organiser, provides accurate venue, participant, accessibility and timing information, cooperates with planning and risk-assessment requests, and provides safe access for setup, delivery and pack-down. Unless Luminous has expressly contracted to provide them, the Client is responsible for venue permissions, licences, emergency procedures, welfare facilities, suitable power, loading/access, security and venue-specific requirements.
Luminous corporate experiences are voluntary, opt-in, non-clinical and non-religious. Participants may modify, pause or stop an activity and are not required to make personal disclosures. Luminous does not provide medical diagnosis, psychotherapy, Occupational Health or emergency clinical care through a standard corporate Event or Portal licence. The organisation's HR, EAP, Occupational Health, safeguarding and emergency arrangements remain in place.
Luminous will consider reasonable adjustments within the nature, safety and practical constraints of the booked experience. Requirements should be raised as early as reasonably possible. An adjustment that materially changes scope, staffing, venue, equipment or third-party cost may require an agreed change to Charges.
Cacao or another consumable element is included only where expressly stated in the Booking Confirmation. Responsibility for sourcing, service, ingredient/allergen information, venue permissions and dietary communications is agreed before the Event. Participants remain responsible for deciding whether to consume an optional item having regard to allergies, intolerances, medication, pregnancy or other relevant circumstances.
Each party is responsible for health and safety matters within its reasonable control. Luminous maintains proportionate activity risk assessments and operating controls; the Client/venue remains responsible for premises safety, fire/emergency arrangements and hazards under its control unless expressly agreed otherwise. Luminous may modify, pause or stop delivery where conditions are unsafe, unlawful or materially different from information supplied.
Luminous retains its methodology, experience structures, scripts, guided journeys, audio/music-led structures, training and written materials, visual assets, brand assets and know-how. Unless expressly licensed in writing, proprietary Luminous content must not be recorded, reproduced, scraped, extracted, adapted, sold, sublicensed, distributed, published, uploaded, used to train an AI/model or turned into derivative training/content. Photography, filming, audio recording or livestreaming of proprietary facilitated content requires written agreement. Client names, logos, testimonials or identifiable employee imagery are not used in external marketing without appropriate permission.
Portal access is limited to the contracted eligible employee population, term and content scope. The standard Portal is an integration and educational environment, not an emergency, diagnostic, therapeutic or clinical service. The standard corporate model minimises employee data and provides aggregate organisational reporting rather than routine access to individual reflections or identifiable wellbeing disclosures. Controller/processor roles and any required Article 28 Data Processing Schedule are agreed for the relevant implementation.
Neither party is liable for delay or failure caused by events beyond reasonable control that could not reasonably have been avoided or overcome. The parties will first try in good faith to reschedule or adapt the affected Event. Luminous is not responsible for services independently contracted by the Client, such as a venue, caterer, transport or AV supplier not engaged by Luminous.
Luminous will maintain insurance appropriate to its business and contracted activities and will provide evidence on reasonable procurement request. Any specific minimum policy limit or specialist cover required by the Client must be agreed before Booking confirmation and may affect Charges. The Client remains responsible for insurance appropriate to its venue, employees, property and independently arranged services.
Nothing excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot lawfully be excluded or limited. Subject to that, neither party is liable for indirect or consequential loss, or loss of profit, revenue, anticipated savings, business opportunity or goodwill, except where an express agreed indemnity applies. Luminous' aggregate liability under a Booking is capped at 100% of the Charges paid or payable under that Booking.
Either party may terminate for material breach where the breach can be remedied but is not remedied within 14 days after written notice requiring remedy. Immediate termination may apply if the other party enters insolvency proceedings or ceases business, subject to applicable insolvency law. Termination does not affect accrued rights, Charges properly due or provisions intended to survive, including confidentiality, intellectual property, data-protection consequences, liability and governing law.
The commercial position uses the law of England and Wales and the courts of England and Wales. Formal cancellation, postponement, breach and termination notices must be in writing to the contact stated in the relevant Booking Confirmation or its notified replacement.
Neither party may assign the whole Contract without the other's prior written consent, not to be unreasonably withheld or delayed, except that Luminous may use subcontractors as permitted by the Contract and may assign the Contract to a purchaser of substantially all of the relevant business on written notice. Variations must be agreed in writing by authorised representatives. If a provision is invalid or unenforceable, the remainder continues. No third party has rights under the Contracts (Rights of Third Parties) Act 1999 unless the Booking Confirmation expressly states otherwise.
